Management Board of Mostostal Warszawa S.A. ("Company") informs that on 30 July 2020 Mr. Alvaro Javier de Rojas Rodríguez resigned from the position of the Management Board Member of the Company, effective as of 31 July 2020.

Mr. Alvaro Javier de Rojas Rodríguez has informed that he has resigned in connection with taking up a new position within the Acciona Group.

In addition, the Company's Supervisory Board, at its meeting on 30 July 2020, appointed Mr. Carlos Enrique Resino Ruiz to the Management Board of the 8th term of office, entrusting him with the position of the Management Board Member of the Company. The resolution of the Company's Supervisory Board enters into force on 1 August 2020. Below is a curriculum vitae of the newly appointed Management Board Member:

Education

Mr. Carlos Resino Ruiz is a graduate of the Complutense University in Madrid with the title of M.Sc. in Economics and Management. In 2000, he completed the IESE Business School at the Navarra University and, in 2009, Escuela de Organización Industrial (post-graduate school of engineering).

Professional experience.

Between 1993 and 1995, Mr. Resino Ruiz worked as a financial director in Acciona at the Impregilo – Torno – Al Wahda Power project in Morocco.

Between 1995 and 1997, he was the regional financial director of Acciona in Morocco.

Between 2000 and 2010, Mr. Resino Ruiz held the function of financial director in the Central Area and in the Area of Civil Work in Acciona Infraestructuras.

Between May 2010 and February 2013, he worked as director for economic and financial affairs in Acciona Ingeniería S.A.

From March 2013, Mr. Carlos Resino Ruiz has worked for Mostostal Warszawa S.A., where he was the control director.

From 26 June2014 until 30 September 2016 he was Mostostal Warszawa S.A. Management Board member responsible for finances. He was also Mostostal Power Development Sp. z o.o. Management Board member as well as a member of the supervisory board in subsidiaries of Mostostal Warszawa S.A.: AMK Kraków S.A., Mostostal Płock S.A., Mostostal Kielce S.A.

From 1 October 2016 he is CFO at Acciona Infraestructuras Middle East where he has leaded the financial operations of the Acciona in this Middle East, with key projects for Acciona Construcción (Dubai Metro 2020), Acciona Industrial (Dewa III 800 MW Photovoltaic Plant - Dubai) and Acciona Agua (SWRO Jebel Ali Desalination Plant Dubai, Al Khobar I, II [&] Shuqaiq SWRO Desalination Plants in Saudi Arabia, UHP SWRO Desalination Plant Umm Al Houl in Qatar).

According to his declaration, Mr. Carlos Resino Ruiz  does not conduct competitive activity in reference to the activity pursued by the Issuer, and does not participate in a competitive company with respect to Mostostal Warszawa S.A., as a partner of a civil partnership, partnership or member of a body of a capital company, does not participate in another competitive legal activity as a member of its bodies and is not listed in the Register of Insolvent Debtors maintained on the basis of the Act on the National Court Register.

As a result of the above changes, the Company's Management Board of the 8th term is composed of:
