Report No 8_Election of the Company’s Supervisory Board for the 8th term

The Management Board of Mostostal Warszawa S.A., after being notified today, informs that on 15 April, submission of candidacy of Mr. Grzegorz Janas was sent to the Company. Election of members of the Supervisory Board took place during the General Shareholders’ Meeting of the Company on 19.04.2016.

Submission of candidacy was made in line with Point 10 of the Agenda of the General Shareholders’ Meeting: “Adoption of resolutions on appointment of the Company’s Supervisory Board for the 8th term.”

The candidate was submitted by the shareholder: Open Pension Fund PZU “Złota Jesień.”

Furthermore, we wish to remind you that all materials regarding the session of the General Shareholders’ Meeting, including information about candidates submitted earlier, are published on the Company’s Internet site.  

The Management Board of Mostostal Warszawa S.A. informs that on 19 April 2016, the Ordinary General Shareholders’ Meeting of the Company elected the following persons as members of the Company’s Supervisory Board in the 8th term:

2. Francisco Adalberto Claudio Vazquez
3. Raimundo Fernandez - Cuesta Laborde
4. Piotr Gawryś
5. Jose Manuel Terceiro Mateos

None of the appointed members of the Supervisory Board holds functions specified in Art. 1 and Art. 2 of the Act on Restricting Conduct of Business Activity by Public Functionaries (Journal of Laws of 2006, No. 216, item 1584, as amended).

There is no conflict of interest with respect to holding the function of a member of the Supervisory Board of the Company. The above-listed persons do not conduct competitive activity in relation to the Company and they do not perform any activities in companies that conduct competitive activity as members of authorities of a joint stock company or as shareholders of a civil company or a partnership and they do not participate in the functioning of another competitive legal person as members of its body.

In line with the terms specified in Art. 18 of the Code of Commercial Companies of 15 September 2000 (Journal of Laws of 2000, No. 94 item 1037 as amended), (hereinafter referred to the as the “CCC”), in relation to the candidates for the members of the Company’s Supervisory Board, they possess full capacity for legal actions and none of them was sentenced by a valid court decision for crimes listed in Chapters XXXIII – XXXVII of the Penal Code Act of 6 June 1997 (Journal of Laws of 1997, No. 88, item 553, as amended) and in Art. 585, Art. 587, Art. 590 and Art. 591 of the CCC; none of the appointed Members of the Supervisory Board is entered in the Register of Insolvent Debtors maintained on the basis of the Act on the National Court Register of 20 August 1997 (uniform text – Journal of Laws of 2007, No. 168, item 1186 as amended).

CVs of Members of the Supervisory Board:

Neil Roxbourgh Balfour is a graduate of Ampleforth College and holds a master’s degree in law and a barrister diploma from Oxford (Middle Temple). Between 1979 and 1984, he was a European Parliament MP. Between 1969 and 1983, he worked in the commercial banking sector (Baring Brothers and European Banking Company).

Between 1984 and 1989, Mr. Balfour was President and Managing Director of York Trust. Between 1987 and 1991, he was Chairman of Trustees of the Ripon Cathedral Trust Fund. In 1991, he managed the buyout of York Trust after its reverse take-over in 1989 by Babcock [&] Brown (UK). Between 1994 and 1995, he created the KP Consortium (KPC) as part of a joint venture with City Bank Handlowy, Paine Webber and KPMG. In 1999, Neil Balfour introduced Acciona to Poland. Between 2001 and 2002, he held the position of President and Executive Director of the Polish subsidiary of Acciona, Mostostal Warszawa S.A. In 2005, Neil Balfour established a private company investing in office and residential property – Augusta I Ltd. The company’s activity focused on investments in Polish office and residential properties. Mr. Balfour also set up a developer company (Mermaid Properties). In 2007, he became president of Landkom International Plc, the first Ukrainian company listed at the AIM (Alternative Investments Market) at the London Stock Exchange. Neil Balfour was a member of budget and economy commission and Monetary Commission of the European Parliament, a member of the Management Board of one of the largest commercial bank concerns in Europe and established one of the first private companies managing assets in Central and Eastern Europe, along with one of the best developer companies in Poland. He possesses long-term experience in management due to holding the function of president or member of the management board of many companies listed in Great Britain and Poland as well as several international capital funds.

He was a member of the Supervisory Board of Mostostal Warszawa S.A. during its 7th term.

Francisco Adalberto Claudio Vasquez received a diploma of roads, canals and harbours engineer at the Technical University of Madrid in 1986. After acquiring almost twenty years of experience in the construction industry by working for several Spanish and international infrastructural and construction companies, he started working for Acciona S.A. in 2006.

Francisco Adalberto Claudio Vasquez manages the Company’s activities in the area of international infrastructural investments and concessions in 30 countries on five continents, holding the function of Global Managing Director of the Company for Infrastructure. He is also a member of Managing Committees of ACCIONA Infrastructure and ACCIONA Concessions.
Mr. Francisco Adalberto Claudio is a Member of the Supervisory Board of Northern Link Project, a joint enterprise consisting in construction of a tunnel and a road in Brisbane, Australia, with a value exceeding AUD 1.5 billion, as well as a member of the Management Board of IRASA. He was a chairman of the Supervisory Board of Mostostal Warszawa S.A. in the 7th term.

Raimundo Fernandez-Cuesta holds a diploma in economy from Universidad Carlos III de Madrid and a bachelor’s degree in financial economy from Birkbeck College, University of London.

He started his career in investment banking in 1998 in UBS in London, where he worked in merger and take-over teams and corporate finance teams of European municipal companies. In 2001, he moved to the research team dealing with municipal joint stock companies in UBS, initially dealing with European water supply companies and subsequently conducting studies on Spanish municipal companies. In 2005, he left UBS for Credit Suisse, where he took-over business related to Spanish municipal companies and wind energy, playing an active role in the take-over of Endesa, as well as conducting a number of public offers, including the stock exchange debut of Iberdrola Renovables. In 2009, he started working for Nomura, where he joined a team of analysts dealing with renewable energy. In September 2011, he left investment banking and became Merger and Take-Over Director in ACCIONA S.A.
He was member of the Supervisory Board of Mostostal Warszawa S.A. in the 7th term.

Piotr Gawryś graduated from the Faculty of Law and Administration at the University of Warsaw in 1991. In 1995, he completed training on International Corporate Finance and Portfolio Management at the New York Institute of Finance. He is a licensed securities broker. Between 1993 and 1994, Piotr worked as a lawyer in Bank PKO S.A. and between 1994 and 1996, as Broker – Section Manager in Polski Bank Rozwoju. Between 1995 and 2002, he was employed by Reiffeisen Capital [&] Investment Brokerage Office, first as Sales Director and subsequently as Managing Director – President of the Management Board. Between 2004 and 2005, he was an Analyst in Millennium Dom Maklerski. Between 2005 and 2006, he served as President of the Management Board of Lentex S.A. Between 2007 and 2010, Mr. Gawryś worked in Vienna and London as Analyst and Analyst/ Consultant in Capital Bank AG and IPREO. Between 2011 and 2014, he held the function of President of the Management Board of PRIM S.A in Ełk. Between 2004 and 2014, he was member of the Supervisory Board in Lentex S.A, Elmo Siedlce S.A., Mostostal Warszawa S.A., Vistula Group S.A., Sanok S.A. and Qumak S.A. He served as member of the Supervisory Board of Mostostal Warszawa S.A. of the 7th term.

Jose Manuel Terceiro Mateos received a diploma in marketing and economy from the Alcala de Henares University in Spain in 1991; in 2009 he received the MBA title at the Escuela de Organización Industrial.

Between 1993 and 1997, he worked as internal auditor in Cubiertas y MZOV. Between 1997 and 2002, Mr. Mateos was Director of the Accounting Division in Necso Entrecanales Cubiertas. Between 2002 and 2008, he served as Financial Control Director in Acciona Infraestructuras S.A. From 2008 to date he has been holding the position of Financial Division Director General in Acciona Infraestructuras S.A.
