The Management Board of Mostostal Warszawa S.A. (hereafter “Company”) hereby reports that on 15 March 2018 the Company signed an agreement with ETAC Poland Sp. z o.o. (hereafter “Employer”) for the preparation of detail design and construction of the ETAC Production Facility in Tczew.

The newest ETAC production plant will be designed and built in accordance with the principles of sustainable construction and will be certified by DGNB (German Sustainable Building Council) at the Gold level.

The value of the agreement amounts to: PLN 56.15 million gross.

Execution deadline: 21 December 2018.

Payment deadline: 30 days from invoice receipt.

The period of guarantee amounts of 10 (ten) years with regard to building structures and isolation, 10 (ten) years with regard to basic luminaries and 5 (five) years with regard to emergency light luminaries and central battery. Period and terms for equipment according to the warranty by manufacturer of such equipment. For any others services 2 years warranty agreed.

Performance bond: 10% of the value of the agreement.

Management Board of Mostostal Warszawa S.A. (hereafter „Company”) hereby informs that the Supervisory Board during its meeting on 21 March 2018 has appointed to the Management Board of the 8^th term Mr. Radosław Antoni Gronet. The Supervisory Board’s resolution comes into force on the date of its adoption. The Curriculum vitae of the newly appointed Member of the Board:

Mr. Radosław Gronet was born in 1965. By profession he is a lawyer, graduate of Faculty of Law and Administration at the University of Warsaw and University of Illinois at Chicago. In 1997 he obtained the title of attorney at law.

Since 1991 Radosław Gronet has worked for various law firms in USA and Poland. Then from 1996 he worked for PepsiCo as a in-house lawyer where he was responsible all legal issues PepsiCo Group initially in Poland and later in Central, Eastern, Southern Europe and Middle East. In years 2012 – 2015 has a partner at the law firm Dewey LeBoeuf, which later operated as Greenberg Traurig. During that period he has carried out a number of company acquisition and restructuring transactions amongst others with the construction sector, where he was responsible for litigations associated with construction of roads and highways as well as other public projects. From 2015 till 2017 he worked Globe Trade Center SA. property developer in Poland on the post of Head of Legal Bureau (General Counsel). From August 2017 joined Mostostal Warszawa where he headed Organisational-Legal Area and was proxy. 

Radosław Gronet is also member of the Management Board special-purpose vehicle Mostostal Power Development.

According to his declaration, Radosław Gronet does not conduct competitive activity in reference to the activity pursued by the Issuer, and does not participate in a competitive company with respect to Mostostal Warszawa S.A., as a partner of a civil partnership, partnership or member of a body of a capital company, does not participate in another competitive legal activity as a member of its bodies and is not listed in the Register of Insolvent Debtors maintained on the basis of the Act on the National Court Register.

As a result of changes above, the composition of the Company’s Management Board during the 8th term is as follows:

1. Andrzej Goławski – President of the Management Board;

2. Jorge Calabuig Ferre – Member of the Management Board;

3. Jacek Szymanek – Member of the Management Board;

4. Alvaro Javier de Rojas Rodriguez – Member of the Management Board.

5. Radosław Gronet – Member of the Management Board.
