Report No. 11_Acquisition of Shares in AMK Kraków S.A.

Management Board of Mostostal Warszawa S.A. ("Company") informs that on 19 February 2020 the Company concluded agreements with two existing shareholders of AMK Kraków S.A. ("AMK"), as a result of which it acquired 200,000 shares in AMK for the total amount of PLN 1.30 million.  The nominal value of one AMK share is PLN 1.

 

Before the transaction, the Company held 300,000 shares in AMK, which represented 60.00% of its share capital and entitled to 60.00% of votes at the General Meeting of AMK. As a result of the transaction, the Company holds 500,000 shares in AMK, which represent 100.00% of the share capital and entitle to execute 100.00% of votes at the General Meeting of AMK.

 

The Company's acquisition of 100.00% of shares in AMK will enable the Company to more effectively utilise the AMK’s potential in comprehensive implementation projects in the areas of industrial gas purifying technologies, industrial technologies, equipment and services from concept through design, and implementation to launching, covering warranty and post-warranty services. The scope of services provided by AMK covers implementation of new installations and industrial facilities, as well as their modernisation as well as equipping them with modern equipment and installations for environmental protection. The products and services offered by AMK are used in the power and heating industries, non-ferrous metallurgy, lime and cement sectors, refineries and many others. The transaction will strengthen AMK's position in the Mostostal Warszawa Group and allow the Company to effectively support AMK operationally and financially.

 

The AMK shares were acquired by the Company under agreements with natural persons, which were concluded on terms agreed between the parties, and met market standards for such transactions.

 

Natural persons who sold the shares are not and were not Company employees.

 

The purchase of the shares in AMK was financed by the Company's current funds.
