Report 22/2026 - letter from GDDKiA regarding the task entitled Design and construction of the S19 expressway on the Domaradz - Iskrzynia section

The Management Board of Mostostal Warszawa S.A. (the "Company, Issuer") informs that on May 14, 2026, the Company received a letter from the State Treasury - General Director for National Roads and Motorways ("GDDKiA") concerning the task entitled "Design and construction of the S19 expressway on the section from the Domaradz junction (excluding the junction) to the Iskrzynia junction (excluding the junction) approx. 12.5 km long" - ("Agreement"), from which the Issuer withdrew on April 2, 2026, with future effect (ex nunc) due to reasons attributable to GDDKiA, as reported by the Company in current report No. 10/2026 on the same day.

The letter in question, titled: the ordering party's statement of withdrawal from the agreement No. 2410.2.2022 dated November 7, 2022, with future effect due to the Contractor's fault, indicates as the basis sub-clause 15.2 lit (c) of the Agreement concerning the abandonment of Works and the intention not to continue its obligations under the Contract and Article 492 (1) of the Civil Code concerning the expression of the lack of intention to continue Works by the Contractor.

The Issuer indicates that the GDDKiA's statement has no legal effect due to the fact that it refers to a non-existent Agreement on the date of the statement, which expired on April 2, 2026, as a result of the Company's effective withdrawal from the Agreement.

The Issuer informs that it completely disputes the statement of withdrawal contained in the letter in question and treats it as ineffective due to the lack of any legal and factual grounds.
