Report 16/2025 - Signing of Loan Agreement with Acciona Construcción S.A.

The Management Board of Mostostal Warszawa S.A. ("Company", "Issuer") informs that on July 31, 2025, the Company entered into a Loan Agreement with Acciona Construcción S.A. ("Acciona" the controlling entity of the Company - holding 62.13% of the total number of votes at the General Meeting).

This Agreement replaces the loan agreement dated December 5, 2012 by changing the terms, namely the repayment deadline, security, and the maximum loan amount, which currently amounts to EUR 16.1 million, equivalent to PLN 68.80 million at the average exchange rate of the National Bank of Poland as of July 30, 2025, which was 1 EUR = 4.2732 PLN. As of the date of signing the agreement, Mostostal's debt to Acciona from the loan is EUR 16.0 million. The loan interest rate has been set at market conditions.

The repayment deadline for the loan has been set by the Parties for July 31, 2027.

The legal security for the repayment of the loan granted, along with interest and all costs and fees associated with the loan, is the Company's declaration of voluntary submission to enforcement under Article 777 of the Polish Civil Procedure Code issued in favor of Acciona.

The other terms of the agreement do not deviate from those commonly used for this type of agreements.

The loan may also be repaid in a shorter term.
