The Management Board of Mostostal Warszawa S.A. ("Company", "Issuer") informs that on July 24, 2025,

Mr. Miguel Angel Heras Llorente - Vice President of the Company's Management Board and Mr. Carlos Enrique Resino Ruiz - Member of the Company's Management Board, have resigned from their positions on the Company's Management Board, effective as of July 24, 2025.

As reasons for their resignation, Mr. Miguel Angel Heras Llorente and Mr. Carlos Enrique Resino Ruiz indicated the assignment of new tasks within the Acciona Group organization.

At the same time, in connection with these resignations, the Supervisory Board of the Company today appointed to the 9th term of the Management Board:

- Mr. Juan de Dios Martin Martin as a Member of the Management Board,

- Mr. Javier Sanz Mugica as a Member of the Management Board,

- Mr. Marcin Kondraszuk as a Member of the Management Board.

Biographies of the newly appointed Members of the Management Board:

Juan de Dios Martin Martin

Born in 1972. In 1995, he graduated in Business Administration and Management from the University of Navarra, in 2004 he obtained a master's degree in tax advisory at ESESA (Escuela de Estudios Superiores de Empresa - Malaga), and in 2022 he obtained a master's degree in finance and administration management at UNIR (International University of La Rioja).

He started his career as an assistant to the general director and controller at ICI Autocolor Polska in Warsaw (1997-1999). He then worked as a financial analyst at IBM Global Services SPAIN in Madrid (2000-2002). From 2002 to 2003, he was a director at System Fuengirola. He later served as a financial director at Lawbird Legal Services (Marbella - 2003-2007). From 2007 to 2015, he was a financial controller at Sando Polska (the Polish branch of the SANDO Capital Group). From 2016 to 2023, he served as CFO and administration director at the OHLA branch in Norway. From January 2024 to June 2025, he served as CFO at Tailor Retail Makers - Grupo Bilba Constructora / Sinerba.

According to his statement, Mr. Juan de Dios Martin Martin does not engage in competitive activities with respect to the activities carried out by the Issuer, nor does he participate in a competitive company with Mostostal Warszawa S.A. as a partner in a civil partnership, a personal partnership, or as a member of the body of a capital company. He does not participate in another competitive legal entity as a member of its bodies and is not listed in the Register of Insolvent Debtors kept under the National Court Register Act.

Javier Sanz Mugica

Born in 1978. He graduated in civil engineering (specializing in construction) from the University of Cantabria (Spain) in 2002. He has approximately 25 years of professional experience in management, design, and implementation of land and water infrastructure projects, serving as regional construction director, tender director, project director, construction manager, and technical engineer. He has been involved in the implementation of many metro, railway, and highway projects, including earthworks, tunnels, aboveground and underground stations, viaducts, MEP installations, systems, communications, and roads in complex urban environments.

He began his career at Ferrovial Agroman SA (2003-2007), where he mainly worked on high-speed railway projects, holding various positions: technical manager, construction manager, and project manager in the Cerceda-Meirama project covering 8.1 km, including the construction of four tunnels and 1.2 km of viaducts.

From 2007 to 2015, he worked at Isolux Corsan. From 2007 to 2013, he served as a project manager and project director, leading the construction of two important high-speed railway projects in Spain: Tolosa-Hernialde project (3.8 km section including three tunnels, two cut-and-cover tunnels, and four viaducts) and Campomanes-Pola De Lena (4.9 km, including 4.1 km of tunnels and 800 m of viaducts). In 2013, he was appointed operations director for railway projects in northern Spain, and in 2014, he moved to Oman, where he became the project manager for the construction of a 55.7 km highway in the country (extension of the Bidbid-Sur Road - section 2).

In 2015, he started his professional career at Acciona. As the Director of Construction Projects Operations for Acciona in the Middle East (2015-2020), he chaired the project management committee for the Dubai Metro Route 2020 project, with a budget of 3 billion euros. The project involved expanding the existing metro network by 15 km, including an 11.8 km viaduct and a 3.2 km tunnel.

From 2020 to 2025, he was the Project Director for another metro project in Canada, with a budget of 1.5 billion euros - the Broadway Subway Project (Vancouver). This project involves expanding the existing metro network by 6 km, including a 5 km tunnel, the construction of 6 new metro stations, and a 700 m viaduct.

According to his statement, Mr. Javier Sanz Mugica does not engage in competitive activities with respect to the activities carried out by the Issuer, nor does he participate in a competitive company with Mostostal Warszawa S.A. as a partner in a civil partnership, a personal partnership, or as a member of the body of a capital company. Marcin Kondraszuk

He was born in 1973. He graduated from the Production Management Faculty at the Warsaw University of Technology. He completed numerous specialized training courses in strategic enterprise analysis, organization and management, and financial planning.

From 1996 to 1998, he was associated with the Practical School of Innovation Consulting Group, where as a consultant, he participated in training and advisory projects for companies in the construction, transportation, and FMCG industries, focusing on organization management, financial analysis, and human resources management.

He has been associated with Mostostal Warszawa since 1998. From 2001 to 2012, he served as Deputy Director and then Director of the Legal and Organizational Office, responsible for providing legal services to the Company and comprehensive support for its statutory bodies. From 2012 to 2018, he was the Director of the Board Office, and since 2018, he has been leading the Production Support and Organization Department. He is responsible for key organizational areas, including compliance, investor relations, claims management policy, and warranty service for completed projects.

Since 2012, he has also served as a proxy of Mostostal Warszawa SA. During his career in the Mostostal Warszawa capital group, he was a proxy and later vice president in Towarowa Park Sp. z o.o., a member of the Supervisory Board of Mieleckie Przedsiębiorstwo Budowlane SA, and REMAK SA.

Currently, he is a Member of the Management Board of Mostostal Power Development Sp. z o.o. and sits on the Supervisory Boards of Mostostal Płock SA and AMK Kraków SA.
