EBI REPORT 1/2024 -Mostostal Warszawa Spółka Akcyjna - Report on an incidental breach of Good Practice
Pursuant to para. 29 para. 3a of the Regulations of the Warsaw Stock Exchange S.A. - Mostostal Warszawa Spółka Akcyjna provides information on an incidental breach of the Good Practices 2021
GENERAL MEETING AND RELATIONS WITH SHAREHOLDERS
4.3 The Company provides publicly available real-time transmission of the General Meeting.
The principle has been breached incidentally.
Company comment on the incidental breach of the above principle:
The Company did not provide real-time transmission of the Extraordinary General Meeting held on 5 December 2024. The Company does not have its own technical infrastructure for the transmission of the General Meeting and, in the opinion of the Management Board, the transmission of the General Meeting in the absence of investors' interest in such transmission (Investors do not declare their willingness to participate in the transmission of the General Meetings) would involve unreasonable costs of ordering such a service.
There have been no instances of incidental violations of the principle in the last 2 years.
4.9.1 Nominations for board members should be made in time to allow shareholders present at the General Meeting to make a decision with due discernment, but no later than 3 days before the General Meeting; nominations, together with a set of materials concerning them, should be published immediately on the company's website.
The rule was breached incidentally.
Company comments on the incidental breach of this principle:
The principle in question was breached because the candidacy for a member of the Supervisory Board was proposed during the General Meeting. It was therefore not possible for the company to ensure that the candidatures were published within the time and in the manner set out in the above principle.
There have been no incidental breaches of the principle in the last 2 years.
