Management Board of Mostostal Warszawa S.A. ('Company') informs that on 8 January 2020 the Company's registered office was notified by Powszechne Towarzystwo Emerytalne PZU S.A. ("PTE PZU") acting on behalf of Otwarty Fundusz Emerytalny PZU "Złota Jesień" (OFE PZU), pursuant to Art. 69 par. 1 pt. 1 and paragraph .2 pt. 1 a of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies (Journal of Laws of 2019, item 623, consolidated text) concerning changes in the ownership of the Company's shares.

OFE PZU as a result of the purchase transaction concluded on 30 December 2019 purchased 5,000 shares of the Company on the Warsaw Stock Exchange and following its settlement on 3 January 2020, increased its shareholding of over 10% of the total number of votes by at least 2% in the total number of votes.

Before the above-mentioned transaction was settled, OFE PZU held 3,821,194 shares in the Company, which represented 19.11% of the Company's share capital and entitled to 3,821,194 votes or 19.11% of the total number of votes.

Following the above-mentioned transactions, as of 3 January 2020 OFE PZU held 3,826,194 shares in the Company, which represented 19.13% of its share capital and entitled to 3,826,194 votes or 19.13% of the total number of votes at its General Meeting of Shareholders.

Management Board of Mostostal Warszawa S.A. ("Company") informs that on 30 December 2019 The Company concluded Annex no. 12 ("Annex") to the Guarantee Line Agreement from 14 December 2015. ("Agreement") with Credit Agricole Bank Polska.

The Annex to the Agreement was amended as follows:

the availability period of bank guarantees is valid until 28 February 2020,

the maximum period of validity of bank guarantees is valid until the date:

- 30 August 2020 for tender guarantees,

- 28 February 2025 for advance payment guarantee,

- 28 February 2030 for the guarantee of good workmanship and guarantee of removal of defects and faults.

The remaining terms and conditions of the agreement do not differ from those commonly used for this type of agreements.
